Terms and Conditions

By completing signup and checking the consent box at registration, you agree to these Terms. If you do not agree, do not use Adysor.

1. Platform Overview

Shashwat Shukla, an individual carrying on business as a sole proprietor under the trade name 'Adysor' ('Adysor', 'we', 'us', or 'our') operates adysor.com and app.adysor.com.

Adysor does not provide accounting, taxation, legal, or financial advisory services. All professional services are provided directly by the CA Users on the Platform.

2. Independent Professionals

Chartered Accountants on Adysor are independent professionals. Adysor does not employ, supervise, or control professional services. Users engage professionals at their own discretion. Adysor does not guarantee the quality, accuracy, or outcome of any professional service.

3. No Professional Advice

All compliance information on the Platform (deadlines, forms, filing requirements) is provided for informational purposes only and may not be accurate, complete, or current. Verify all compliance obligations with a qualified CA or the relevant government portal. Adysor is not liable for penalties or losses arising from reliance on information displayed on the Platform.

4. CA User Obligations

4.1 Professional responsibility

CA Users are fully responsible for all professional work performed for their clients. Adysor's tools assist with workflow management but do not substitute for professional judgement or compliance obligations under the Chartered Accountants Act 1949 and ICAI guidelines.

4.2 ICAI compliance

CA Users are responsible for ensuring their use of the Platform, including any marketing features, complies with ICAI's Code of Ethics including the 13th Edition (effective April 1, 2026). Adysor provides guidance on ICAI-compliant use but does not guarantee that any particular use will satisfy ICAI requirements in all circumstances.

4.3 CA Users as data fiduciaries

CA Users who use the Platform to collect, store, or process personal data belonging to their own clients are Data Fiduciaries for that client data under the Digital Personal Data Protection Act 2023. By using Adysor to manage client data, CA Users represent that they have obtained appropriate consent from their clients for the collection and processing of that data and that they maintain their own privacy practices compliant with applicable Indian law.

4.4 Google Drive integration

CA Users who connect their Google Drive account to Adysor grant Adysor permission to store documents shared through the Platform in a designated folder on that Google Drive. CA Users are responsible for maintaining the security of their Google account and for the documents stored on their Google Drive. Adysor is not liable for the loss, deletion, or unauthorised access of documents arising from the CA User's Google account being compromised or revoked.

4.5 Accurate credentials

CA Users must provide an accurate ICAI membership number and Certificate of Practice number. Adysor may verify this information against ICAI's public records and suspend accounts where information is found to be inaccurate.

5. Client User Obligations

Client Users must provide accurate information (entity type, GST registration status, etc.) when setting up their compliance profile. The accuracy of the compliance calendar depends on the accuracy of information provided. You are responsible for verifying compliance deadlines with your CA or directly with the relevant government authority.

6. Document Storage

Documents uploaded through the Platform are stored on the CA User's linked Google Drive, not on Adysor's servers. Adysor facilitates document transfer but does not retain independent copies. Adysor staff do not have access to document contents.

Client Users who have connected their Google Drive account can access documents shared with their CA directly through their Google Drive at any time. Documents stored on Google Drive are subject to Google's terms of service and the CA User's Google account configuration.

CA Users are responsible for maintaining appropriate document backups and for ensuring their Google Drive account remains active while engaged with clients on the Platform. Adysor is not liable for document loss arising from Google Drive unavailability, deletion, or revocation.

7. Billing and Invoicing

Adysor is not a payment gateway and does not intermediate, hold, or process payments between CA Users and their clients. CA Users may generate invoices within the Platform and share them with clients as documents. Payment for professional services takes place directly between the CA and the client by means they agree upon outside of Adysor. Adysor has no role in, and no liability for, financial transactions between CA Users and their clients.

Subscription fees for Adysor's platform services are set out at adysor.com/pricing. Subscriptions renew automatically unless cancelled. Pricing changes will be communicated with 30 days' notice to existing subscribers.

8. Prohibited Uses

Users may not:

  • Impersonate a Chartered Accountant or claim professional credentials they do not hold

  • Upload or transmit malware or harmful code

  • Scrape or systematically extract data from the Platform

  • Use the Platform in violation of Indian law or ICAI regulations

  • Attempt to gain unauthorised access to other users' accounts or documents

  • Use the Platform's marketing features to solicit clients in a manner that violates ICAI's Code of Ethics

  • Process personal data of non-Indian residents without first confirming applicable cross-border data transfer compliance

9. Platform Availability

Adysor may modify or discontinue platform features at any time with reasonable notice. We do not guarantee uninterrupted access to the Platform.

10. Intellectual Property

All platform software, branding, design, and content are owned by Adysor or its licensors. You may not copy, modify, distribute, or create derivative works without our written consent.

You retain ownership of all content you upload to the Platform. By uploading content, you grant Adysor a limited, non-exclusive licence to store and transmit that content solely to deliver the Platform's features to you.

11. Disclaimer of Warranties

The Platform is provided 'as is' and 'as available.' Adysor makes no warranties regarding fitness for a particular purpose, accuracy of compliance information, or uninterrupted availability.

12. Limitation of Liability

To the maximum extent permitted by Indian law, Adysor's total liability for any claim arising from your use of the Platform shall not exceed the fees you have paid to Adysor in the three months immediately preceding the claim.

Adysor is not liable for: penalties or interest arising from missed tax deadlines; loss of documents; loss of business from Platform downtime; disputes between CA Users and their clients; or indirect, consequential, or punitive damages.

13. Termination

You may delete your account at any time via Settings > Account > Delete Account. CA Users should export client data before deletion. Adysor will process deletion within 30 days, subject to legally required retention periods.

Adysor may suspend or terminate accounts that violate these Terms, provide false credentials, or are required to be suspended by applicable law. Notice will be provided where legally permissible.

14. Disputes Between Users and Professionals

Adysor is not responsible for resolving disputes between CA Users and their clients. Users and professionals agree to resolve disputes directly. Adysor may, at its discretion, provide assistance but is not obligated to intervene.

15. Governing Law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka. We encourage contact at support@adysor.com before initiating proceedings.

16. Changes to These Terms

Material changes will be notified by email and in-app notification at least 7 days before taking effect. The version number and effective date at the top of this document will always reflect the current version. Continued use after the effective date constitutes acceptance.
